Joint Venture and Complex Ownership ● Negotiating long-term ownership structures for mixed-use and affordable housing projects, including multi-tier joint venture ownership structures, condominium regimes, and ground leases. Regulatory Support ● Guiding clients through the regulatory programs and procedures to optimize development and financing plans. ● Securing necessary approvals for client property acquisitions, dispositions, and addition of senior or subordinate financing. ● Working collaboratively with government agencies including the New York City Department of Housing Preservation and Development (HPD), the New York City Housing Development Corporation, New York State Housing Finance Agency, and the Charities Bureau and Real Estate Finance Bureau of the New York State Attorney General’s Office. Tax-Incentives ● Obtaining various tax incentives including 420-c, Article XI, NY State Sales Tax and 420-a. Construction and Land Use Documentation ● Negotiating, drafting and reviewing general construction contracts, city agency easements, zoning lot development agreements and zoning lot mergers, license and access agreements (both as to RPAPL 881 scope and additional rights such as underpinning), and architect agreements. ● Negotiating and drafting a broad spectrum of real estate documents pertinent to new construction and multi-family preservation.
