Recent transactions include: leading the in house team on a 1 billion euro fundraising and structured finance deal for the purchase of consumer debt; a review of the constitution of an authorised contractual scheme for a London real estate development; and advising on the impact of AIFMD on offshore special purpose vehicles.Engaged directly by Legg Mason to support their in house team during a period of transition and integration. Managed the legal and compliance team responsible for the merger of the a UCITS fund range operated by Legg Mason UK with the existing UCITS fund range managed by Martin Currie. The merger was achieved by scheme of arrangement and required full approval by the FCA. Following the successful merger Legg Mason instructed me to lead on the launch AIFMD funds in Ireland and UCITS funds in the UK.In house counsel to the London office providing legal advice on fund launches, banking and day to day corporate operations. In particular ,supporting sales teams in Singapore, Hong Kong, Europe and the Middle East on the regulatory position of investment fund distribution.In House Counsel operating within a dedicated legal team advising on the FCA ordered review into the sale of Interest Rate Hedging Products..In-house legal adviser dealing with Funds Management, Debt Financing, Litigation and Corporate Legal. Working closely with property legal teams and offshore administrators and instructing external counsel. Goodman manages a range of real estate investment funds giving investors access to specialist fund management services and commercial and industrial property assets. Goodman is an integrated commercial and industrial property group and fund manager that owns, develops and manages real estate assets including warehouses, large scale logistics facilities business parks and office across its global network. Key Experiences and projects undertaken: As part of a large multidisciplinary team including senior Goodman Management, the Fund Manager, Directors of the General Partner and Investor representatives advised on the extension of the Arlington Business Parks £940m fund and its refinancing. Work closely with fund administration teams for entities located in in Jersey including Unit Trusts, companies and limited partnerships. Successfully lead a mixed team of commercial, finance and legal professionals on the negotiation and drawdown of development and term loan facilities (including, Profit Participation Loans, Facility Agreements, ISDAs and Security Documents) for the design and construction of a pre-let UK facility. Assisted the Funds Management, Legal and Finance teams to raise awareness of the issues affecting the industry, specifically AIFMD, EMIR, Data Protection Directive and the wider changes affecting the financial Services industry. A member of the listed funds team. My role focused on the £190 million listing on the Official List of a Real Estate Investment Trust. Other ancillary projects included being adviser to several AIM listed funds, negotiating private acquisition terms and advising on JV structures.In House Solicitor advising on joint ventures projects in the Saudi Arabia and Qatar, employment and commercial disputes, insurance law, and defence of complaints against HSBC.
